Terms and Conditions of Sale
These Terms and Conditions of Sale ("Terms") apply to all sales of goods by Security System Depot INC ("SSD," "we," "us"), 6024 20th Ave, Brooklyn, NY 11204, including sales made at our Brooklyn, Flushing (145-24 14th Ave, Flushing, NY 11357), and Staten Island (112 Industrial Loop Unit B, Staten Island, NY 10309) locations, by phone, and through our online portals. By placing an order, accepting delivery of goods, or making payment on an invoice, the customer accepts and agrees to be bound by these Terms in their entirety — payment of an invoice, in full or in part, constitutes acceptance. They apply to both retail customers and wholesale (trade/installer) customers unless a separate written agreement signed by SSD states otherwise.
1. Scope
SSD sells security cameras, video recorders (DVR/NVR), intercoms, access control, and related equipment and accessories, including products from Uniview/Uniarch, Hikvision-OEM, and Akuvox. These Terms cover the sale of goods only. SSD does not perform installation; any installation, programming, or service work arranged with a third-party installer is solely between you and that installer.
2. Pricing & Quotes
- Written quotes are valid for 14 days from the quote date unless a different validity period is stated on the quote.
- Prices and product availability are subject to change without notice until your order is confirmed by SSD.
- Pricing, typographical, or clerical errors on quotes, invoices, labels, listings, or advertisements may be corrected at any time, and SSD may cancel any order affected by such an error. SSD is not liable for any such error or omission; the customer's sole remedy is cancellation of the affected order and refund of any amount paid for it.
3. Payment Terms
- Invoices are due according to the terms stated on the invoice. House-account invoicing is COD (payment on delivery/pickup) unless credit terms have been agreed by SSD in writing.
- Overdue balances may accrue interest at the maximum rate permitted by New York law, from the due date until paid in full.
- If SSD must pursue collection of an unpaid balance, the customer is responsible for all collection costs and reasonable attorneys' fees.
- SSD may suspend further shipments or credit while any invoice is past due.
4. Taxes & Exemptions
New York sales tax (currently 8.875% in New York City) applies to all taxable sales unless we hold a valid New York resale certificate (Form ST-120) or a valid out-of-state exemption certificate on file before the sale. Tax cannot be removed retroactively from a completed sale. Wholesale customers are responsible for keeping their exemption certificates current with us.
5. Delivery, Title & Risk of Loss
- Risk of loss passes to the customer upon delivery of the goods or upon pickup at an SSD location, whichever occurs first.
- Title to the goods passes only upon payment in full. Until payment in full is received, SSD retains a security interest in the goods sold, and the customer authorizes SSD to take any steps reasonably necessary to perfect that interest.
- Delivery and lead-time estimates are given in good faith but are not guaranteed; SSD is not liable for delays outside its control.
6. Returns
- Returns and exchanges are governed by our published Returns & Exchanges Policy (see securitysystemdepot.com, currently a 15-day window from delivery for unused items in original resalable packaging, with required photos and RMA number). Where these Terms and that policy differ, the published policy controls for returns.
- Special-order items are non-returnable and non-refundable.
- Opened electronics, if accepted for return at SSD's discretion, may be subject to a restocking fee.
- Items that fail or are found defective are handled through the manufacturer's RMA process (see Section 7). After 30 days from purchase, defective items are repaired or replaced through vendor RMA and are not eligible for a cash refund.
7. Warranty & RMA
- All hardware is warranted solely by its manufacturer under the manufacturer's own warranty terms. SSD provides no separate warranty of its own.
- As a courtesy, SSD will assist in facilitating RMA processing with the manufacturer (including Uniview, Hikvision, and Akuvox) for products purchased from SSD. Warranty decisions, repair, and replacement are made by the manufacturer.
- EXCEPT AS EXPRESSLY STATED IN THESE TERMS, ALL GOODS ARE SOLD WITHOUT ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE BEYOND THE MANUFACTURER'S WARRANTY, TO THE FULLEST EXTENT PERMITTED BY LAW.
- Labor, installation, configuration, and related services performed by third parties are not covered by SSD and are not SSD's responsibility.
8. Customer's Responsibility for Use; Compliance with Law
- The customer is solely responsible for how the goods are installed, configured, placed, and used, including camera placement and fields of view, audio recording, signage and notice requirements, and retention or disclosure of recordings. Video and audio surveillance is regulated by federal, state, and local law, and requirements differ by jurisdiction; the customer is solely responsible for ensuring its use of the equipment is lawful.
- Product suggestions, advice, recommendations, system-design input, compatibility guidance, specifications, documentation, and technical support (in store, by phone, by message, or otherwise) are provided as a courtesy only, without charge, without warranty, and WITHOUT ANY LIABILITY ON SSD'S PART FOR ERRORS OR OMISSIONS IN THEM. The customer relies on any such advice or support at its own risk and is solely responsible for verifying, before purchase and deployment, that the goods are suitable and adequate for the customer's purpose.
- Certain products depend on third-party services (including manufacturer cloud platforms, mobile apps, DDNS, and firmware) that are provided and controlled by the manufacturer or other third parties. SSD does not control and is not responsible for the availability, security, changes to, or discontinuation of any third-party service.
9. Limitation of Liability & Security Disclaimer
- TO THE FULLEST EXTENT PERMITTED BY LAW, SSD is not liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, lost data or recordings, events not captured or not recorded, failure of equipment to operate at any particular time, or business interruption, arising from or related to the sale, installation, use, or inability to use any goods, or from any advice, recommendation, technical support, pricing or billing error, or any other act, error, or omission of SSD in connection with a sale, regardless of the theory of liability and even if SSD was advised of the possibility of such damages.
- TO THE FULLEST EXTENT PERMITTED BY LAW, SSD's total cumulative liability for any and all claims relating to goods sold is limited to the price actually paid to SSD for the specific goods giving rise to the claim, and repair, replacement, or refund of that price is the customer's sole and exclusive remedy.
- Security disclaimer: Security cameras, recorders, intercoms, access control, and related equipment are deterrent and monitoring tools only. They do not and cannot guarantee the prevention or detection of theft, loss, property damage, personal injury, or any other harm, and SSD is not an insurer. Amounts charged by SSD are based on the value of the goods, not the value of the customer's property or premises, and the customer should obtain appropriate insurance for any risk of loss.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or non-waivable statutory consumer rights.
10. Indemnification & Hold Harmless
TO THE FULLEST EXTENT PERMITTED BY LAW, the customer agrees to defend, indemnify, and hold harmless SSD, its owners, officers, employees, and agents from and against any and all claims, demands, actions, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees) brought by any third party arising out of or related to: (a) the customer's installation, configuration, placement, use, or misuse of the goods; (b) any recording, monitoring, or surveillance conducted with the goods, including any alleged violation of privacy, wiretap, or surveillance laws; (c) the customer's resale of the goods or any representation the customer makes about them; (d) any injury, loss, or damage occurring at premises where the goods are installed; and (e) the customer's violation of these Terms or of applicable law. This obligation survives payment and delivery.
11. Governing Law; Dispute Resolution
These Terms and all sales by SSD are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute arising from a sale shall be brought exclusively in the state or federal courts located in Kings County, New York, and the customer consents to venue and jurisdiction there. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY, AND THE CUSTOMER AGREES THAT ANY CLAIM WILL BE BROUGHT INDIVIDUALLY AND NOT AS PART OF A CLASS OR REPRESENTATIVE ACTION. Any claim arising from a sale must be commenced within one (1) year after it accrues, to the extent such a limitation is permitted by law.
12. Severability; Entire Agreement
If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full effect. These Terms, together with the applicable invoice or order confirmation, are the entire agreement for each sale and supersede any conflicting terms on a customer's purchase order or other document.
13. Privacy
Customer contact information is used for order processing, invoicing, receipts, and warranty/RMA support. SSD does not sell customer information to third parties.
